Rockford, Ranger plan amalgamation

Rockford Minerals (TSE) has agreed in principle to amalgamate with Northern Ranger Minerals (ASE). The terms of the merger are one common share of the new company for each Rockford share held and three-quarters of a share of the new company for each Northern Ranger share held.

After completion of the deal, the company will have 13.7 million shares, 1.6 million special shares and five million Class A preferred shares issued and outstanding. Each special share and Class A share is convertible into a common share.

Rockford is a gold producer with cash flow coming from mining at the Barber Larder project near Larder Lake, Ont. The company also holds interests in a large land position covering a section of the Larder Lake Break.
