Noble Peak will issue 500,000 shares to BHP-Utah upon the signing of the formal agreement and an additional 250,000 shares on each of the first and second anniversary dates of the agreement. Formal agreement will be subject to regulatory approval and the approval of Noble Peak’s board of directors.
