Kam Creed, Cuvier deal

An agreement in principle has been reached between Cuvier Mines and Kam Creed Mines which, if completed, will see both companies merged. Subject to a fairness opinion and regulatory and shareholder approval, the amalgamation will proceed on a share exchange basis of two Cuvier shares for each share of Kam Creed held.

Kam Creed holds a 100% interest in more than 400,000 acres of land in Brazil. Initial prospecting suggests the lands hold potential for gold and other precious metals. Also, the company has a joint venture agreement with BP Brazil to perform exploration work on various exploration permits held by BP in Brazil. Cuvier is active in exploration in Canada and will provide technical expertise in mineral exploration and financing.
